1. About Yeme Community Capital

Yeme Community Capital (“YCC”) provides financial custody and governance services for Social Value contributions made through the Yeme Procurement Model.

YCC operates post-contract award only and does not participate in procurement decision-making, programme design, delivery management or impact reporting.

YCC acts as a steward of Social Value capital, ensuring contributions are:
• securely held
• ring-fenced
• governed transparently
• deployed strictly in line with agreed purposes

2. Relationship with Mercy Mission UK

YCC operates within a regulated charitable framework through Mercy Mission UK, a charity registered with the Charity Commission for England and Wales.

Mercy Mission UK provides:
• regulated charitable fund custody
• statutory financial governance
• compliance oversight
• charitable reporting to the Charity Commission

All Social Value cash contributions are received, held and administered within this charitable structure.

YCC operates as a Donor-Advised Fund client of Mercy Mission UK and provides programme governance, allocation oversight and assurance within this framework.

3. Relationship with Delivery & Coordination Partners

YCC does not deliver activity directly.

Delivery and coordination may involve:
360° Society, which supports place-based coordination and capacity building
• approved delivery partners embedded within local communities

360° Society does not hold funds, approve spend, or provide statutory reporting.
Delivery partners remain responsible for operational delivery within agreed scopes.

4. Payment, Confirmation & Buyer Visibility

Social Value payments:
• occur only after contract award
• are made as cash contributions
• are ring-fenced by contract, place and theme

Confirmation of payment:
• is recorded within the Yeme system
• is shared with the commissioning authority (buyer)
• forms part of the supplier’s verified delivery record

Confirmed delivery and follow-through:
• feed into supplier delivery scores
• support future procurement submissions
• distinguish delivered impact from pledged commitments

5. Reporting, Evidence & Supplier Scores

Impact reporting is managed centrally by Yeme Tech.

YCC does not produce outcome or performance reports.

Evidence captured through delivery:
• confirms deployment of funds
• supports Social Value reporting outputs
• contributes to supplier delivery credibility over time

Verified delivery (not just pledges) may be referenced in:
• future tenders
• supplier performance records
• audit and assurance processes

6. Local Spend & LM3 Evidence

Where local spend commitments are declared through the Supplier Portal:
• evidence of local employment and supply chain spend may be requested post-award
LM3 methodology may be used to evidence local economic impact

Local spend evidence contributes to:
• transparency
• delivery verification
• supplier delivery scores over time

7. Compliance, KYC & AML

YCC operates with appropriate compliance safeguards.

This includes:
• standard Know Your Customer (KYC) checks
Anti-Money Laundering (AML) screening
• supplier and partner due diligence
• transaction monitoring within the regulated custodial framework

These checks are required to protect suppliers, commissioning authorities and delivery partners.

8. Fees & Cost Recovery

YCC may recover reasonable fees associated with:
• fund administration
• governance
• compliance
• allocation oversight

Fees are structured to reflect:
• efficiency gained through pooled funding
• reduced duplication
• long-term stakeholder coordination

Fee structures may evolve over time and are confirmed contractually where applicable.

9. Data Protection & Information Sharing

YCC processes data in line with applicable UK data protection law, including the UK GDPR.

Data may be shared with:
• Yeme Tech (for reporting and evidence purposes)
• Mercy Mission UK (for regulated fund custody and statutory reporting)
• authorised delivery and coordination partners where necessary

Data is:
• used only for defined purposes
• protected through appropriate technical and organisational measures
• not sold or disclosed to unauthorised third parties

10. Limitation of Role & Liability

YCC:
• does not influence procurement decisions
• does not guarantee procurement outcomes
• does not guarantee specific impact results

All procurement decisions remain the responsibility of the contracting authority.

Delivery outcomes depend on:
• agreed scopes
• delivery partner performance
• external conditions

11. Governing Law

These terms are governed by the laws of England and Wales.
